Short version: SPADE Timer is a timer app for speech & debate events, provided "as is" for your personal use. The optional SPADE Timer Plus subscription auto-renews unless you cancel. The app is not affiliated with the NSDA, and its event times are a convenience, not an official ruling — always follow your tournament's rules.
These Terms of Use ("Terms") are a legal agreement between you and TDK AI Solutions LLC ("we," "us") governing your use of the SPADE Timer app ("the app"). By downloading or using the app, you agree to these Terms. If you do not agree, do not use the app. The app is available worldwide through the Apple App Store.
1. License
We grant you a personal, non-exclusive, non-transferable, revocable license to use the app on Apple-branded devices that you own or control, as permitted by the Apple Media Services Terms and Conditions and the Usage Rules therein. The app is licensed, not sold, to you. You may not copy, modify, reverse-engineer, redistribute, or resell the app except as permitted by applicable law.
2. Subscriptions (SPADE Timer Plus)
- SPADE Timer Plus is an auto-renewable subscription. The current price, billing period (for example, monthly or annual), and any free-trial offer are shown in the app before you purchase and on the App Store. Prices may vary by region and may change over time; any change applies only to future billing periods.
- Payment is charged to your Apple Account at confirmation of purchase.
- The subscription renews automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends, at the price then shown.
- You can manage or cancel your subscription anytime in your Apple Account settings. Deleting the app does not cancel the subscription.
- If a free trial is offered, any unused portion is forfeited when you purchase a subscription.
- We may make promotional or free-access offer codes available; these are redeemed through Apple and are subject to any stated terms and expiration.
3. Not affiliated; timing is not official
SPADE Timer is not affiliated with, endorsed by, or sponsored by the National Speech & Debate Association (NSDA) or any tournament, league, or governing body. Event formats, time limits, grace periods, and topics shown in the app reflect commonly used formats and are provided for convenience and reference only. They are not official and may be inaccurate or out of date. You are responsible for knowing and following the rules of your specific tournament or league, and you should not rely on the app as the authoritative timekeeper where an official timekeeper is required.
4. Acceptable use
Use the app only for lawful purposes. Do not misuse the app, interfere with its operation, or attempt to access it in a way not permitted by these Terms.
5. Intellectual property
The app and its content, design, and trademarks are owned by TDK AI Solutions LLC and its licensors and are protected by law. These Terms grant you no rights to our trademarks or branding. Debate topics are published by their respective organizations and are reproduced in the app for reference only.
6. Disclaimer of warranties
The app is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the app or its timing, formats, or topics are accurate, error-free, uninterrupted, or suitable for any particular competition.
7. Limitation of liability
To the maximum extent permitted by law, TDK AI Solutions LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from a competition result, reliance on the app's timing or topics, or inability to use the app. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Your consumer rights
Nothing in these Terms excludes or limits any statutory consumer rights you may have under the laws of your country of residence that cannot be waived by agreement. Where such rights apply, they take precedence over any conflicting provision in these Terms.
9. Apple App Store terms
These Terms are between you and TDK AI Solutions LLC only, and not with Apple. Apple is not responsible for the app or its content. Apple has no obligation to provide any maintenance or support for the app. Apple is not responsible for any product warranties, product-liability claims, claims that the app fails to conform to legal or regulatory requirements, or claims arising under consumer-protection or similar law, including any third-party claim that the app infringes intellectual-property rights. You must comply with applicable third-party terms and any U.S. and other export and usage restrictions. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
10. Changes to these Terms
We may update these Terms from time to time. We will revise the effective date above, and your continued use of the app after a change takes effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, except where the mandatory consumer-protection laws of your country of residence apply. You agree to the non-exclusive jurisdiction of the courts located in Delaware for disputes not subject to such mandatory local law.
